FREQUENTLY ASKED QUESTIONS & GENERAL TERMS AND CONDITIONS OF SALE
Texture Fabrics, Inc. (“Texture”) general terms and conditions of sale, including and not limited to, are listed below:
RESERVES
We reserve most products for up to 2 weeks. However, we reserve the right to cancel any reserve at any time.
CUTTING FOR APPROVAL
CFA (cutting for approval) can be requested for certain products. There is a 3 yard minimum if you request a CFA or a $15 CFA fee will apply.
LEAD TIME
For in-stock products, we ship from multiple warehouses located domestically and overseas. General transit times for these in-stock products varies from 1 day to 4 weeks based upon your location and the location of the warehouse. If you need a more accurate lead time for your order, please contact us.
MINIMUM ORDER QUANTITY
If the product is sold by the yard, we have a 3 yard minimum order requirement; however, we waive this minimum to 1 yard, if the product is in stock. Also note we sell in increments of 0.50 yards once the minimum is met.
Most wallcoverings are sold by the roll and the minimum is 1 roll.
PRICING
Our price list is Designer Net/ Wholesale/ To the Trade. Additional freight charges apply. Prices are subject to change without notification. All prices are FOB Miami, FL unless otherwise specified. Prices should be checked with our corporate office or the nearest showroom prior to ordering.
TERMS
Full payment, including freight and any other miscellaneous itemized charges, is required prior to shipment unless credit has been established. We accept all major credit cards and checks in the mail for payment. If terms have been previously established, payment is due on or prior to the due date listed on the invoice via check or ACH. ACH is our preferred method to receive payments; please contact us for ACH details. Additional credit card processing fee will apply once credit terms have been extended to the customer. Payments not received on or before their due date are subject to a late fee of 6% of the invoice amount (including without limitation any previously assessed but unpaid late payment fees). In case of collection, any and all collection costs will be for the account of the customer. Returned/ bounced check fee is $40 per check.
ORDERING
We prefer that you order products by using our website. Please contact us if you need login information. Alternatively, we request that you send in your written purchase order via email. Orders are subject to acceptance with issuance of our sales order confirmation including an anticipated delivery date. Please review the sales order confirmation for all details upon receipt. . Orders may not be changed prior to shipment without a written request. All such requests are subject to Texture's ability to conform.
Telephone orders are accepted. We send a sales order confirmation by email upon receipt of a telephone order. It is the responsibility of the customer to verify all details in such sales order confirmation. Texture will accept no responsibility for merchandise or quantity discrepancies on telephone orders.
INTERNATIONAL SHIPMENTS
International shipments may be subject to additional customs duties and fees after delivery. We are unable to determine these charges in advance since these charges are at the sole discretion of the destination country’s customs authorities. If Texture is billed for these additional customs duties and/or fees, we will charge the credit card that was used for the purchase and email all relevant documentation showing the additional charges. Should that credit card not be valid, we will contact you for a new one. Alternatively, you may use your own courier account for these shipments and we will mark it such that the additional customs duties and fees are billed to you. Note that we charge a handling fee for using your own courier account.
CANCELLATIONS
Backorders cannot be canceled without the written consent of Texture and will be subject to a 25% cancellation fee. Orders requiring a deposit for which deposit has been received are non-cancelable without forfeiture of entire deposit. Orders that have been processed and are pending shipment, may be cancelled with our written consent and will be treated as a restock with a 25% restocking/ cancellation fee. This fee is calculated on the designer net price regardless of the point of sale.
RETURNS/REFUNDS/CLAIMS
No Product may be returned without Texture's prior written consent. There is a maximum of 30 days from the invoice date to contact Texture to initiate the return. Unauthorized returns will not be accepted. For non-faulty merchandise, a restocking/ handling charge of 25% of the DESIGNER NET price regardless of the point of sale will be charged on all approved returns. Please include a Return Sales Order form with the merchandise. Refund will be issued as merchandise credit.
There are no returns on made to order, custom orders, discontinued or discounted products. Further there are no returns or claims on products that have been cut, altered or fabricated. The receiver must inspect package for quantity, quality, pattern, color, etc. within 72 hours of receipt. It is the purchaser’s responsibility to inform the receiver of this instruction. In case of drop shipments, we suggest sending the receiver a sample to check against the received product. The receiver must verify that the correct item was received and in good condition. If there are any damages/incorrect items shipped, it must be reported to Texture within 72 hours of receipt or it will result in voided claim process. Texture will not be responsible for any costs other than those billed by Texture. TEXTURE WILL NOT BE RESPONSIBLE FOR ANY FABRICATION CHARGES UNDER ANY CIRCUMSTANCES.
Velvet fabrics and velvet trims are not returnable. Fabric/Trim piece sizes less than 10 yards are not returnable. Opened rolls of Wallcoverings are not returnable. Partial orders are not returnable.
Freight charges for returns are not reimbursable.
QUALITY
Variations in dyes, dye lots, yarns and spinning lots may cause variations between samples and inventoried/ shipped fabric. A cutting of current stock can be requested along with the purchase order. All weights and dimensions are approximate. Fabric is not guaranteed against fading, wearing, dimensional change or any other physical changes in appearance. Fabric width and repeats may vary up to 5%. Shrinkage is also normal even for preshrunk fabric up to 3%.
NATURAL FIBERS
Natural products such as silk, linen and cotton will have natural imperfections. Slubs, dyelot variation, bubs and nominal pattern variation is to be expected and is a part of the natural beauty and should not be considered defects.
VELVET HANDLING
Velvet products are delicate, and we ship all velvets in a suspended box. It is very important to store velvet correctly. The suspended box should be stored correctly and laid flat on its longer side. Once the velvet has been opened, please store it in a horizontal, hanging position to avoid any kind of crease marks. Texture can not be held responsible for velvets that are stored for long time or stored improperly.
NOVELTY PRODUCTS – HAND EMBROIDERED AND STUDDED
Since many of the embroidered and studded products are handmade, some variation in repeat and design is deemed acceptable. Also note that these items may be delicate and should be handled with care. Studded products should be applied in appropriate fabrications.
SPECIAL PROCESS AND SERVICES
Texture offers third party finishing services at an additional charge. Addition of topical and back coating treatments to any fabric can change the color, hand or performance. Texture will not accept responsibility for any fabric that has been processed by an outside finisher. These orders are not returnable. Texture will not be responsible for any variations as a result of the specified elective finish.
Please order an additional 1 yard, per cut, to ensure enough return after working loss.
TESTING
Texture will develop custom colors and/or designs. Custom orders will be accepted at Texture's discretion if sufficient time and minimum yardage requirements are met.
All custom design orders require a written purchase order, a set-up fee (if applicable) and a non-refundable full deposit to begin production. All custom orders are subject to a maximum of 10% overage on the production run; adjustments will be made on the final invoice.
Custom orders may not be canceled or returned unless the product is defective. Texture's ability to produce a custom design or color once does not guarantee Texture's ability to produce it in the future, which should be considered when calculating attic stock. DESIGNS
All Texture designs are copyrighted by, and remain the sole property of Texture. Licensing agreements maybe available; please contact our corporate office for additional information.
FORCE MAJEURE
Texture will not be liable for any delays or failure to deliver the product if these delays are caused by force majeure. These include natural causes (fire, storms, floods), governmental or societal actions (war, invasion, civil unrest, labor strikes), infrastructure failures (shortage of raw material, transportation, energy), etc.
SALES TAX
We sell to the trade only and will need a valid resale tax certificate to process all orders. Please furnish the resale tax certificate to Texture at the time of account registration. We are not authorized to collect sales tax. It is the purchaser’s responsibility to collect applicable sales tax from the end consumer.
